Terms of Use

Welcome to Vidulk! These Terms of Use (“Terms”) govern your use of the Vidulk mobile application (the “App”) and our website at https://www.vidulk.com. Vidulk is an AI-powered video clipping app for iOS and Android that helps content creators turn long-form videos and audio into viral clips. By accessing or using the App, you agree to these Terms. If you do not agree, do not use the App.

The App requires video credits and image credits to function. Credits are consumed for AI-powered clip detection, transcription, video export, and image generation services.

You are solely responsible for the content generated using the App and for ensuring it complies with applicable laws and the terms of any platforms where you share it.

You own all rights in and to the clips you generate with the App. You may use them for any lawful purpose, including commercial use. However, you are responsible for obtaining all necessary rights, consents, and permissions for any third-party content you include.

1. Acceptance of Terms

By accessing or using the App, you confirm that you are at least 18 years old or have the legal capacity to enter into a binding agreement. If you are under 18, you may only use our services with the supervision and consent of a parent or guardian.

2. Use of the App

You agree to use the App only for lawful purposes and in compliance with these Terms. You agree not to:

• Upload any content that is unlawful, harmful, or violates the rights of others.
• Use the App to collect or store personal information about others without their consent.
• Attempt to gain unauthorized access to any part of our systems or services.
• Interfere with or disrupt the functionality of the App or its servers.
• Use the App to download or redistribute copyrighted content without authorization from the rights holder.
• Circumvent any technical measures we use to protect the App or its content.

3. Content Import and Platform Access

The App allows you to import videos from various platforms including YouTube, TikTok, Instagram, Facebook, Twitter/X, and others. When importing content:

• You are responsible for ensuring you have the right to use, clip, and redistribute any imported content.
• We do not host or store imported videos on our servers. Videos are downloaded directly to your device.
• Platform-specific terms of service still apply to content sourced from those platforms.
• We are not responsible for the availability, accuracy, or legality of third-party content.

4. User Accounts and Security

To access the App, you must create an account via Google or Apple sign-in. You agree to:

• Provide accurate and complete information during registration.
• Keep your account credentials confidential and secure.
• Notify us immediately if you suspect unauthorized access to your account.

5. Credits and Billing

• Credits: We offer video credit and image credit packages. Each operation consumes the appropriate credit type.
• Free Credits: You receive 3 free video credits and 3 free image credits every week.
• Referral Program: Share your referral code and both you and your friend receive bonus credits.
• Billing: Credits are purchased through Apple (iOS) or Google (Android) app stores. We do not store full payment information.
• Scope of Payment: You are paying I Lov Guitars Inc./Vidulk for access to the App functionality. You are not paying for the content itself.
• Refunds: Refunds are handled in accordance with Apple App Store or Google Play policies and must be requested through the respective store.

6. AI Features and Consent

The App uses on-device AI models for speech-to-text transcription, text-to-speech, and image generation. These features process data entirely on your device.

For AI-powered clip detection and transcript enhancement, transcript data and video metadata are sent to OpenAI through our secure server infrastructure. No personal information is included in these requests. Before any data is sent to third-party AI services, the App will ask for your explicit consent.

7. Third-Party Services

The App integrates with third-party services:

• OpenAI: AI-powered clip detection and transcript enhancement. Only transcript text and video metadata are sent — no personal information is shared.
• Apple App Store and Google Play: manage credit purchases and payments.
• Supabase: secure storage and management of user data and authentication.
• RevenueCat: in-app purchase management.
• Firebase: crash reporting and analytics.
• Cloudflare: hosting of AI models and content delivery.
• AWS SES: email delivery for feedback and support.

Please review the privacy policies of these third-party providers to understand their data handling practices.

8. Data Retention and Deletion

• Video Files: source videos are stored locally on your device and can be cleared from the App settings.
• Processing Assets: temporary assets used during video processing are deleted after completion.
• User Controls: you may delete your account and associated data through the App (Profile → Delete Account); deletion is permanent.
• Credits: your purchase and usage data are stored securely and used solely to fulfill your requests.

9. Intellectual Property

All content provided in the App, including but not limited to text, graphics, logos, background images, AI models, caption styles, and software, is the property of I Lov Guitars Inc. or its licensors. You agree not to copy, modify, distribute, or reverse-engineer any part of the App.

10. Security; Limitation of Liability

We use industry-standard safeguards to protect your data and credits. However, no method of transmission or storage is completely secure. We cannot guarantee absolute security.

To the fullest extent permitted by law, I Lov Guitars Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to your use of the App. The App and outputs are provided “as is,” without warranties of any kind.

11. Termination

We reserve the right to suspend or terminate your access to the App at our sole discretion, without notice, if you violate these Terms or engage in any behavior that we deem harmful to our services or users.

12. Changes to These Terms

We may update these Terms to reflect changes in our services or legal obligations. If we make material changes, we will notify you via email or through a notice in the App before the changes become effective.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.
